Terms of Service
Last updated October 18, 2026
Effective date: 18 October 2026
These Terms of Service (the “Terms”) are a legally binding agreement between you and MoreBasket Private Limited, a private limited company incorporated under the laws of India, with its registered address at Ozone Techno Park, 24, Rajiv Gandhi Salai, Navalur, Chennai, Tamil Nadu 600130, India (registration number [to be completed: company registration number]) (“morebasket”, “we”, “us” and “our”). They govern your access to and use of the morebasket website at https://www.morebasket.com, our store builder, back office, storefront, AI features, application programming interfaces, and every other product or service we provide (together, the “Services”).
Please read the Terms carefully. By creating an account, joining our waiting list for access to the Services, or otherwise using the Services, you agree to be bound by them. If you do not agree, do not use the Services.
1. How these Terms fit with our other policies
The following policies are part of this agreement and are incorporated into it by reference. If there is a conflict, the order of priority is: (a) the Data Processing Addendum, for matters about processing personal data in your store; (b) these Terms; and (c) the other policies.
- the Acceptable Use Policy;
- the AI Features and Agents Terms;
- the Billing, Refunds and Cancellation Policy;
- the Data Processing Addendum and our list of Subprocessors;
- the Beta Program Terms, for as long as the Services or any feature are offered in beta or early access;
- the Copyright and IP Complaints Policy; and
- the Privacy Policy and Cookie Policy, which explain how we handle personal data but are not themselves contractual promises about how you may use the Services.
2. Definitions
In these Terms:
- “Account” means the account you create to use the Services.
- “AI Features” means the features of the Services that use machine-learning or generative models, including the AI store builder, Shopmate, the AI workforce (its agents), and agent checkout, as described in the AI Features and Agents Terms.
- “Authorized Users” means the people you allow to access your Account, such as team members.
- “Customer” means a person or business that buys, or tries to buy, from your Store.
- “Customer Data” means personal data about your Customers and other individuals that you or your Authorized Users put into the Services or that the Services collect on your behalf through your Store.
- “Content” means the text, images, product information, designs, data and other material you or your Authorized Users add to the Services, together with anything the Services generate for you using the AI Features at your request (“Output”).
- “Plan” means the subscription tier you have chosen, including the free tier, with the limits described in the Billing, Refunds and Cancellation Policy.
- “Store” means an online store you create and operate using the Services.
- “Third-Party Services” means services, platforms and products that are not provided by us, such as payment providers, shipping providers, print-on-demand fulfilment providers, sales channels and marketplaces.
3. Who may use the Services
3.1. Business use. The Services are designed for people who build and run an online business. You confirm that you are using the Services for business, trade or professional purposes, and not as a consumer. Where you are an individual acting as a sole trader or creator, that is a business purpose for these Terms.
3.2. Age and capacity. You must be at least 18 years old, or the age of majority where you live if that is higher, and have the legal capacity to enter into a contract.
3.3. On behalf of an organisation. If you accept these Terms for a company or other organisation, you confirm that you have authority to bind it, and “you” means that organisation. You remain responsible for the acts and omissions of your Authorized Users.
3.4. Sanctions and export controls. You confirm that you and your Authorized Users are not (a) located in, or ordinarily resident in, a country or territory that is subject to comprehensive sanctions imposed by the United States, the European Union, the United Kingdom or the United Nations, or (b) named on any sanctions or restricted-party list maintained by those authorities. You will not use the Services in breach of applicable export-control or sanctions laws.
4. Your Account
4.1. Accurate information. You must provide accurate, current and complete information when you register and keep it up to date.
4.2. Security. You are responsible for keeping your credentials confidential and for all activity under your Account. Tell us promptly at admin@morebasket.com if you suspect unauthorised access. We are not liable for loss caused by someone using your Account before you tell us, unless the law says otherwise.
4.3. Authorized Users. You decide who can access your Account and what permissions they have. You must make sure they comply with these Terms. You must not share a single user login between several people.
4.4. One person, one account. You may not create accounts by automated means, or create an account to avoid a suspension, a limit or a fee.
5. The Services
5.1. What we provide. The Services let you build, publish and run an online Store, including AI Features that can draft your Store’s design, page copy, product descriptions and search copy, and agents that take on routine tasks, as well as tools for products, orders, inventory, customers, promotions, shipping and payments, and selling channels. The Services are provided on a software-as-a-service basis; you do not receive a copy of our software.
5.2. Changes to the Services. We improve the Services continuously. We may add, change or remove features. If we make a change that materially reduces the core functionality of a paid Plan, we will give you at least 30 days’ notice where reasonably possible, and, if you are on a paid Plan and the change is unfavourable to you, you may cancel and receive a pro-rata refund of prepaid fees for the unused part of the term, as set out in the Billing, Refunds and Cancellation Policy.
5.3. Beta and early-access features. Some of the Services are offered in beta or early access. They are covered by the Beta Program Terms and may be changed, interrupted or withdrawn at any time.
5.4. Support. We provide support by email and through our documentation. Unless we agree otherwise in writing, we do not offer a service-level commitment for response times.
5.5. Availability. We work to keep the Services available and secure, but we do not promise that they will be uninterrupted, timely or error-free. We may suspend the Services temporarily for maintenance, security or emergency reasons, and we will try to give you notice of planned maintenance.
6. Plans, limits and fees
6.1. Plans. The Services are offered on a free Plan and on paid Plans. Plans differ only in the limits that apply to them, which are the number of products you can list in your Store, the amount of AI usage included each month, and which AI agents are available. The current Plans, limits, prices and billing terms are set out on our pricing page and in the Billing, Refunds and Cancellation Policy.
6.2. Fees. You agree to pay the fees for your Plan under the Billing, Refunds and Cancellation Policy. Fees are non-refundable except as that policy or the law provides.
6.3. Taxes on our fees. Our fees exclude taxes. Where we are required to charge value-added tax, goods and services tax or any similar tax, we will add it, and you agree to pay it. You are responsible for any withholding tax, which you must not deduct from what you pay us unless the law requires it, in which case you must give us the receipts.
6.4. Price changes. We may change our prices and Plan limits. For a paid Plan, a change will take effect from the start of your next renewal period, and we will tell you at least 30 days beforehand.
7. Your Store: you are the seller
7.1. You are the seller. When a Customer buys from your Store, the sale is a contract between you and the Customer. morebasket is not the seller, the merchant of record, the importer, the reseller, an agent or a party to that contract, and we do not take title to your products. We are a technology provider.
7.2. Your responsibilities. You are solely responsible for your Store, your products and your dealings with Customers, including:
- (a) the accuracy, completeness and lawfulness of product descriptions, images, prices, claims and availability;
- (b) having the right to sell the products you list, and holding every licence, permit and registration needed to do so in the places you sell;
- (c) complying with the laws that apply to you and your sales, including consumer protection, distance-selling, product safety, labelling, advertising, electronic commerce, import and export, and data protection laws;
- (d) the terms of sale and policies you publish in your Store, including delivery, returns, refunds, warranties, cancellation rights and complaints handling, which must meet the legal minimums where your Customers live;
- (e) calculating, collecting, reporting and paying all taxes on your sales (sales tax, VAT, GST, customs duties and similar), including registering where required. Tax tools in the Services are a convenience, not tax advice, and you must check that they fit your situation;
- (f) fulfilling orders, handling returns and refunds, handling chargebacks and disputes, and giving Customers support; and
- (g) the personal data of your Customers, for which you are the controller or equivalent. You must give your Customers the privacy notices and obtain the consents that the law requires.
7.3. No advice. Nothing in the Services, including any template, AI Output, default text, tax tool or help article, is legal, tax, accounting or financial advice. You should get professional advice for your own circumstances.
7.4. Customer disputes. We are not responsible for disputes between you and a Customer. If a Customer or a regulator contacts us about your Store, we may share your contact details with them and we may suspend the Store while we look into it.
8. Your Content and our licence to use it
8.1. You own your Content. As between you and us, you keep all rights you have in your Content. These Terms do not transfer ownership of your Content to us.
8.2. Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence, for the term of these Terms and for the time needed to wind down, to host, store, reproduce, process, transmit, display, adapt (for example, resizing or translating at your request) and otherwise use your Content, only as needed to provide, secure, support and improve the Services for you, and to comply with law. Where you publish Content in your Store, the licence includes making it available to the public through the Services.
8.3. Your promises about Content. You confirm that (a) you own your Content or have all the rights, licences and permissions needed to use it and to give us the licence above; (b) your Content and its use through the Services do not infringe or misappropriate anyone’s rights and do not break any law; and (c) your Content follows the Acceptable Use Policy.
8.4. Output. Subject to these Terms and to the AI Features and Agents Terms, and as between you and us, we assign to you any rights we may have in Output that we generate for you. Output may be similar or identical to output generated for others, and we do not promise that Output is original, accurate or free of third-party rights. You are responsible for reviewing Output before you rely on it or publish it.
8.5. Removal. We may remove or disable Content, or suspend a Store, if we reasonably believe it breaks these Terms or the law, as described in section 20.
8.6. Aggregated and technical data. We may collect technical and usage data about how the Services are used (for example, performance, error and feature-usage data) and may use it to operate, secure and improve the Services. We may use data derived from it in an aggregated or de-identified form that does not identify you, your Customers or any individual.
9. Our intellectual property
9.1. Ownership. The Services, including the software, designs, templates, interfaces, documentation, trade marks, logos and the look and feel of the Services, and all improvements to them, belong to us or our licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
9.2. Licence to you. Subject to these Terms and your payment of any fees due, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence during the term to access and use the Services for your own business purposes in accordance with these Terms. Templates and designs may be used only within a Store you operate through the Services.
9.3. Restrictions. You must not, and must not allow anyone else to: (a) copy, modify or create derivative works of the Services except as the Services allow; (b) reverse engineer, decompile or try to discover the source code or models of the Services, except to the extent the law does not allow this restriction; (c) circumvent or interfere with any security, usage or access-control feature, or any limit on products, AI usage or agents; (d) use the Services to build a competing product, or to train a competing model, or to benchmark the Services for publication without our written consent; (e) resell, sublicense or provide the Services to a third party as a service bureau, other than by operating Stores for your own clients where your Plan allows it; or (f) remove proprietary notices.
9.4. Open-source software. Parts of the Services use open-source software, which is licensed under its own terms. Nothing in these Terms limits your rights under an open-source licence for that software.
9.5. Trade marks. You may not use our name, logo or other marks without our prior written permission, except to truthfully state that you use the Services.
10. Feedback
If you give us suggestions, ideas or other feedback about the Services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without obligation to you. Feedback is not your confidential information, and we are not obliged to act on it. We will not publicly credit you as the source without your permission.
11. AI Features
11.1. The AI Features are subject to the AI Features and Agents Terms, which describe, among other things, how AI usage is measured, what the AI agents may do, how approval controls work, how Output may be used, and your responsibility to review it.
11.2. AI Features can produce inaccurate, incomplete, offensive or infringing results. You must review Output before you publish it or rely on it, and you must decide, using the controls we provide, which agent tasks run automatically and which need your approval. You are responsible for what is published or done in your Store.
12. Acceptable use
You must follow the Acceptable Use Policy. You must not use the Services to break the law, to sell prohibited products, to infringe anyone’s rights, to send spam, to harm or disrupt the Services or others, or to do anything else the policy forbids.
13. Third-Party Services and sales channels
13.1. The Services work with Third-Party Services, including payment providers (such as Stripe and PayPal), shipping providers (such as Shippo), print-on-demand fulfilment (such as Gelato and Printrove), analytics and advertising platforms, and sales channels and marketplaces (such as Google, Meta, Etsy, TikTok and Pinterest).
13.2. You connect and use Third-Party Services at your own choice and risk. Your use of each is governed by that provider’s own terms, which you must accept and follow. We are not a party to those terms, we do not control or endorse Third-Party Services, and we are not responsible for them or for their availability, accuracy, fees, security or acts and omissions. A Third-Party Service may change or end its integration with us at any time.
13.3. When you connect a Third-Party Service, you authorise us to exchange data with it as needed for the integration to work, and you are responsible for that data being lawful to share.
14. Payments and payouts
14.1. Your own accounts. Payments from your Customers are processed by the payment provider whose account you connect to your Store. Money from your Customers goes to your account at that provider and is subject to its terms, fees, reserves, holds, verification requirements and payout schedules. We do not hold, receive, transmit or settle your Customers’ funds, and we are not a bank, money transmitter, payment institution or escrow agent.
14.2. Provider decisions. Payment providers may refuse, hold, reverse or limit payments, or close your account, under their own rules. We are not responsible for those decisions or for the resulting losses.
14.3. Chargebacks and refunds. You are responsible for chargebacks, refunds, fraud losses, disputes and any related provider fees on your sales.
14.4. Agent checkout. Where you enable checkout for AI shopping agents, orders are processed through the payment provider and the protocol described in the AI Features and Agents Terms, and you remain the seller for those orders.
15. Privacy and data protection
15.1. Our role. For personal data about you and your Authorized Users, and for visitors to our own website, we are the controller and we handle personal data as described in our Privacy Policy.
15.2. Customer Data. For Customer Data, you are the controller (or, where you act for someone else, the processor) and we process it on your behalf as your processor (or subprocessor) under the Data Processing Addendum, which forms part of these Terms and applies automatically when we process Customer Data to which data-protection law applies.
15.3. Your obligations. You must have a lawful basis for the personal data you collect, give your Customers the information they are entitled to, respond to their requests, and not use the Services to process personal data in breach of the law.
16. Confidentiality
16.1. “Confidential Information” means non-public information that one party (the “Discloser”) gives the other (the “Recipient”) in connection with these Terms and that is marked confidential or that a reasonable person would understand to be confidential, including, for us, non-public features, pre-release functionality, security information and pricing not published, and, for you, non-public information about your business. It does not include information that (a) is or becomes public through no fault of the Recipient; (b) the Recipient already knew without a duty of confidentiality; (c) the Recipient receives from a third party without a duty of confidentiality; or (d) the Recipient develops independently without using the Discloser’s Confidential Information.
16.2. The Recipient will use Confidential Information only to exercise its rights and perform its obligations under these Terms, protect it with at least reasonable care, and disclose it only to employees, contractors and advisers who need to know it and are bound by duties of confidentiality at least as protective as this section. The Recipient may disclose it where the law or a competent authority requires, after giving the Discloser prompt notice where lawful.
16.3. These obligations continue for three years after the Terms end and, for trade secrets, for as long as they remain trade secrets. Public information in your Store is not Confidential Information.
17. Intellectual-property complaints
We respond to notices of alleged infringement under our Copyright and IP Complaints Policy, and we may remove or disable allegedly infringing material and terminate the accounts of repeat infringers.
18. Compliance and cooperation
18.1. You must give us the information we reasonably need to verify your identity, your business and your use of the Services, and to comply with laws that apply to us, including anti-money-laundering, sanctions, tax and consumer-protection laws and the requirements of our providers and payment partners.
18.2. We may respond to lawful requests from courts, regulators and law-enforcement authorities. Unless the law prevents us, we will tell you if a request relates to your Account or Customer Data, so you can object.
19. Term
These Terms start when you first access the Services or accept them (whichever is earlier) and continue until your Account is closed or these Terms are terminated under section 20.
20. Suspension, termination and your data
20.1. By you. You may stop using the Services and close your Account at any time through your account settings or by contacting admin@morebasket.com. If you are on a paid Plan, cancellation takes effect as the Billing, Refunds and Cancellation Policy describes.
20.2. By us for cause. We may suspend or restrict your access, remove Content, or terminate these Terms, immediately and with notice where practicable, if: (a) you materially breach these Terms, the Acceptable Use Policy or the law; (b) your use poses a security risk or a risk of harm to us, other users, Customers or third parties; (c) you fail to pay undisputed fees after notice and a reasonable chance to cure; (d) we are required to do so by law, a regulator, a court or a payment or other provider; or (e) your Account has been inactive for a long period and, for a free Plan, after we give you notice. Where we suspend instead of terminate, we will restore access once the cause is resolved.
20.3. By us for convenience. We may end the free Plan or any feature at any time. We may terminate a paid Plan for convenience by giving at least 60 days’ notice, and we will refund prepaid fees for the unused part of the term.
20.4. Effect. When these Terms end: (a) your right to use the Services stops; (b) your published Stores may be taken offline; (c) amounts you owe us become due; and (d) the sections that by their nature should continue will continue, including sections 7 to 10, 14.3, 16, 20.4, 20.5 and 21 to 25.
20.5. Export and deletion. For 30 days after termination (or a longer period if the Services allow), you may export your products, orders, customers and other store data using the export tools in the Services. After that we will delete or anonymise your Content and Customer Data as the Data Processing Addendum and Privacy Policy describe, except to the extent we must keep it by law or to establish, exercise or defend legal claims, and except for backups, which are overwritten on a regular cycle.
21. Warranties and disclaimers
21.1. Mutual. Each party confirms that it has the power and authority to enter into these Terms.
21.2. Disclaimer. To the fullest extent the law allows, the Services, the AI Features, all Output, and everything else we provide are provided “as is” and “as available”. We and our licensors and suppliers disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment and any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will meet your requirements, achieve any particular result, such as sales, search ranking or revenue, or be uninterrupted, secure or error-free, or that Output will be accurate, complete or lawful.
21.3. Non-excludable rights. Some jurisdictions do not allow certain warranties to be excluded, and some give rights that cannot be limited by contract. Nothing in these Terms excludes or limits any right you have that cannot be excluded or limited under the law that applies to you.
22. Limitation of liability
22.1. Exclusion of certain losses. To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, anticipated savings, business or opportunity, or for any loss or corruption of data (other than as the Data Processing Addendum requires of us), in each case arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if told it was possible.
22.2. Cap. To the fullest extent the law allows, each party’s total aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) the total fees you paid to us for the Services in the 12 months before the event that gave rise to the claim, and (b) US$100.
22.3. What the limits do not cover. Nothing in these Terms limits or excludes liability for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct or gross negligence, to the extent the law does not allow it to be limited; (d) your obligation to pay fees; (e) your indemnification obligations under section 23; (f) your breach of section 3.4 (sanctions and export controls), section 9.3 (restrictions) or the Acceptable Use Policy; or (g) any other liability that cannot be excluded or limited by law.
22.4. Allocation of risk. The parties agree that this section reflects a fair allocation of risk, that the fees reflect it, and that it applies even if a remedy fails of its essential purpose.
22.5. Third parties. We are not liable for the acts or omissions of Third-Party Services, Customers, Authorized Users or other third parties, or for events beyond our reasonable control.
23. Indemnification
23.1. By you. You will defend, indemnify and hold harmless us, our affiliates, and our and their officers, directors, employees and agents from and against all claims, demands, proceedings, damages, fines, penalties, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to a claim by a third party or a regulator that results from (a) your Content or Output you publish or use; (b) your Store, your products, your sales and your dealings with Customers, including claims about product safety, advertising, pricing, taxes and consumer rights; (c) your breach of these Terms, the Acceptable Use Policy or the law; or (d) your Authorized Users’ acts and omissions.
23.2. Procedure. We will (a) tell you promptly about the claim (a delay only reduces your obligation to the extent it harms you); (b) let you control the defence and settlement, provided you may not settle in a way that admits fault by us or imposes obligations on us without our consent, which we will not unreasonably withhold; and (c) give you reasonable help at your cost. We may take part in the defence with our own counsel at our own cost.
24. Governing law and disputes
24.1. Governing law. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, are governed by the laws of India, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
24.2. Informal resolution first. Before starting formal proceedings, each party will give the other written notice of the dispute and try in good faith to resolve it within 30 days. Notices to us go to admin@morebasket.com.
24.3. Courts. Subject to section 24.4, the parties submit to the exclusive jurisdiction of the courts at Chennai, Tamil Nadu, India. Either party may ask any competent court for urgent injunctive relief to protect its intellectual property or Confidential Information.
24.4. Mandatory local rights. If you are located in a place where the law gives you the right to bring proceedings in your home courts, or gives you non-waivable rights under your local law, nothing in this section removes those rights.
25. General
25.1. Changes to these Terms. We may update these Terms. If a change is material, we will give you at least 30 days’ notice by email or in the Services before it applies to you, except where the change is needed sooner to comply with the law or to address a security risk. If you continue to use the Services after the date a change takes effect, you accept it. If you do not agree to a change, you may stop using the Services and, on a paid Plan, cancel before it takes effect.
25.2. Notices. We may give you notice by email to the address on your Account, by posting in the Services, or by posting on our website. You must send notices to us at admin@morebasket.com and by post to Ozone Techno Park, 24, Rajiv Gandhi Salai, Navalur, Chennai, Tamil Nadu 600130, India. Notices by email are treated as received 24 hours after sending, unless the sender is told it did not arrive.
25.3. Entire agreement. These Terms, with the policies they incorporate, are the entire agreement between you and us about the Services and replace any earlier agreement or understanding about them. You did not rely on any statement not set out in them, but this does not limit liability for fraud.
25.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations, in whole or in part, to an affiliate or to a successor in a merger, acquisition, reorganisation or sale of assets, and we will tell you if that happens.
25.5. Force majeure. Neither party is liable for delay or failure to perform (other than to pay) caused by events beyond its reasonable control, including natural disasters, war, terrorism, pandemics, labour disputes, power or internet failures, acts of government, and failures of third-party hosting or telecommunications providers.
25.6. Severability and waiver. If a court finds a provision unenforceable, it will be enforced to the fullest extent possible and the rest of the Terms will continue. A failure to enforce a right is not a waiver of it.
25.7. No partnership; third parties. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, employment or fiduciary relationship. Except as stated in the Data Processing Addendum, nobody who is not a party has a right to enforce these Terms.
25.8. Language. These Terms are written in English, and the English version controls. We may provide translations for convenience.
25.9. Interpretation. Headings are for convenience. “Including” means “including without limitation”. References to a law include that law as amended or replaced.
